Corporate Restructuring

Where the directors of a corporation (limited company) wish to reorganize or restructure an insolvent corporation, this can be done in several ways. The most common are by a bankruptcy or the filing of a proposal. Where the corporation has significant secured debt, usually to a bank, the more common remedy would be a receivership.

Bromwich & Smith Inc are able to act as either Trustee or Receiver.

If the company is solvent and the shareholder(s) wish to terminate the company, a liquidation can be undertaken. We are able to act as liquidator.

Should the company have no assets but the shareholders or directors consider that the company should be terminated, Bromwich & Smith Inc can assist with the process in a simple and cost-effective manner giving specific advice to the principals of the company to ensure that their personal liabilities are identified and minimized or eliminated.

This is a complex area and we strongly recommend that any interested person contact us immediately for a confidential interview.
